ATTENTION: This legal notice and the following terms together with the Membership Terms and Privacy Policy (collectively “Terms”) applies to the entire contents of the website under the domain name http://www.sapusers.org. (the “Site”) and to any correspondence by e-mail between Site users and UK & Ireland SAP User Group Limited.
This is an important section of the Site and sets out the terms and conditions that apply to use of this Site by you. For the purposes of these Terms, “we”, “us” or “our” means UK & Ireland SAP User Group Limited; “you” or “your” means the company that is a member of UK & Ireland SAP User Group Limited together with its employees, officers or directors about whom personal information is provided to UK & Ireland SAP User Group Limited or the visitor to or user of this Site. You may print out and keep a copy of the Terms. The Terms are a legal agreement and may only be modified with our consent. We reserve the right to change the Terms and any such changes will be posted here; any such changes will take effect immediately upon posting, whether you have reviewed them or not. By using this Site you are agreeing to the Terms; if you do not agree with any of these Terms you should cancel your membership or cease using this Site immediately.
While the Site is intended for residents of the United Kingdom and Ireland, its terms and conditions apply to all users.

A. GENERAL TERMS

All rights reserved. Material on this Site (including without limitation content, software, photographs, sounds, text, graphs, forms, graphics, ideas, articles, reports, notes and articles) is subject to copyright, database and other intellectual property rights unless otherwise indicated. The material may be downloaded to file or printer for personal and non-commercial use only without requiring specific prior consent provided that any copy that you make retains all trademark, copyright or other proprietary notices, and any disclaimer contained thereon and no documents or related graphics on the Site are modified in any way or used separately from the corresponding text. No permission is required to establish hypertext links to this Site.
You acknowledge that you do not acquire any ownership rights by downloading any copyright material. 2.1 Use of the Site
We reserve the right to temporarily or permanently discontinue the Site at any time.
We endeavour to ensure that the Site is available for use 24 hours a day but we cannot guarantee it will always be so and we do not accept any liability for any non-availability. Access to the Site may be suspended temporarily and without notice in the case of system failure, maintenance or repair or for reasons beyond our control. You should retain details of our telephone and facsimile numbers for direct contact. The Site or access to the Site may be terminated permanently and without notice in our absolute discretion for operational or any other reason whatsoever.
We do not warrant that your use or access to the Site will be uninterrupted or error or virus free.
If we make any software owned or operated by a third party available to you, you must use this software in accordance with the terms and conditions imposed by the third party.
Hypertext links or resources to any other websites are provided solely for your convenience. We have not reviewed these websites or resources and are not responsible for their contents or availability. If you use these links or resources, you leave the Site. We accept no responsibility or liability for the content of any Postings irrespective of whether we have edited these or not. You acknowledge that you may be exposed to Postings from users that you may find offensive and if you do so you should notify us as soon as possible.
You must not allow any unregistered user to make any Postings.
You waive your moral rights to be identified as the author of any Posting and we may at our discretion exclude, reject, modify or alter the Posting (including cutting it to fit the Site). If there are any restrictions on any Posting you must notify us in advance.

2.5 Our and Your Liability
We, any other party involved in creating, producing, maintaining or delivering the Site, and its partners, officers, directors, employees, and agents of any of them, exclude all liability and responsibility for any amount or kind of loss or damage that may result to you or a third party (including without limitation, any direct, indirect, punitive or consequential loss or damages, or any loss of income, profits, goodwill, data, contracts, use of money, or loss or damages arising from or connected in any way to business interruption, and whether in tort (including without limitation negligence), contract or otherwise) in connection with the Site in any way or in connection with the use, inability to use or the results of use of the Site, any websites or resources linked to the Site or the material on such websites or resources, including but not limited to loss or damage due to viruses, worms, Trojan horses or other destructive items, corrupted data or incompatible data that may infect your computer equipment, software, data or other property on account of your access to, use of, or browsing the Site or your downloading of any material or information from the Site or any websites or resources linked to the Site.
You will indemnify and hold us harmless against all loss and liability arising from claims made or litigation brought against us as a result of your use of the Site or its contents.
Nothing in these Terms shall operate to limit to exclude our liability for death or personal injury caused by our negligence or responsibility for fraudulent misrepresentations that cannot under English law be excluded.
2.6 Barring from the Site
We reserve the right to bar users from the Site on a permanent or temporary basis at our discretion.

2.8 Legal Jurisdiction and Dispute Resolution
We control the Site from the United Kingdom and we make no warranty that the Site or any material or information on it or use or processing by us of personal information from you complies with any laws other than those of England. If you access the Site from anywhere other than the United Kingdom you must ensure compliance with local laws.
English law shall apply to the Terms notwithstanding any other jurisdiction where you are or access the Site. You irrevocably agree that the courts of England shall have the exclusive jurisdiction to settle any dispute that may arise in connection with the Terms and you submit to the exclusive jurisdiction of such courts.
All communications connected with the Site must be in English.

B. PRIVACY POLICY
1.1 We are committed to ensuring that your privacy is protected and this policy sets out how UK and Ireland User Group Limited intends to collect and use any personal information on the Site. For the purposes of this Policy “we”, “us” or “ours” means UK & Ireland SAP User Group Limited; “you” or “yours” means the company that is a member of UK & Ireland SAP User Group Limited together with its employees, officers or directors about whom personal information is provided to us or the visitor to or user of this Site. You are not required to provide information to us but, if you do not, then you may not be able to make use of all the benefits of membership or visit all sections of the Site. Please tell us as soon as possible if any of your personal information is incorrect.
1.2 By using the Site you are agreeing to the terms of this Policy. This Policy sets out how we intend to collect and use any personal information on the Site.
1.3 “Personal Information” as used in this Policy means information relating to you as an individual such as name, address, job title, employer, professional interests, and contact details. We will also collect information on your IP address, host names, domain name, time and date information and the browser version and platform used by you. By using the Site you are agreeing to the terms of this Policy and consenting to the processing of Personal Information as described in this Policy; if you do not agree with any of these terms you should cease using the Site immediately.

1.5 We will keep all your Personal Information provided by you confidential except that we may use Personal Information for any of the following purposes:
- Administration, general correspondence, support, profiling and processing (including personalising the Site for your use);
- Contacting you to register your use of the Site, to advise you of any meetings, to notify you of new features or to resolve any queries you or us may have regarding us or the Site or its use;
- Responding to any requests or queries from you;
- Profiling you and the users of the Site;
- Contacting you to notify you of other services or products that might be of interest to you (although you can elect not to receive any of these at any time by contacting us as set out below); and
- Subscribing you to newsletters or email alerts or online surveys (although you can unsubscribe from these at any time by contacting us as set out below); and
- Sharing anonymised profiles and data on you and other registered users with other potential registered users or sponsors only.
If you agree to participate in any survey hosted via Survey Monkey, the data you enter will be stored in the United States by Survey Monkey. All information provided will only be used by us to improve the services we provide you and enhance the value you receive from your membership. No information entered will be passed to any third parties.

1.6 We will not sell, share or pass on any of your Personal Information to any other third party except if we sell the whole or part of our business. Other non-Personal Information collected by us will be used to provide aggregate statistics in relation to pages being accessed and to monitor usage patterns on the Site in order to improve navigation and design features. This non-Personal Information may be aggregated and provided to third parties.
1.7 This Privacy Policy does not cover links within the Site to other websites or resources and you must review the terms applicable to such other websites or resources.
1.8 Any changes to this Privacy Policy will be posted here.

1.10 We reserve the right to bar or suspend you from the Site on a permanent or temporary basis at its discretion and without giving any reason.

If you have registered with us then your computer may store an identifying cookie which will save you time each time you re-visit our website, by remembering your email address for you. You can change the settings on your browser to prevent cookies being stored on your computer without your explicit consent.
Full Corporate, Individual In Transition and Trial Corporate Membership Terms
C. Full Corporate Membership
1. The following information explains the terms and conditions of full corporate membership. By completing a full membership application form (as compared to an individual in transition membership or a trial corporate membership application form) you are agreeing to become a member of UK & Ireland SAP User Group Limited for a minimum period of one year and to the following terms and conditions and also to the other terms and conditions (including in particular Privacy) posted on this Site. If you do not wish to become a member or agree to such terms then you should not complete the application form. The terms and conditions applicable to trial corporate membership can be found at here and for in transition membership here.
2. We reserve the right to refuse your application for membership without giving any reason therefor.
3. Membership is conditional upon you holding at least one SAP licence.
4. UK & Ireland SAP User Group Limited is an independent company limited by guarantee and is registered in England under Registration Number 3908435. Once your application to become a member has been accepted by us, you will become a member of that company entitling you to receive the benefits of membership posted in this Site and the additional right to receive notice of, attend and vote at general meetings of the company.
5. We are not required or entitled to issue share certificates in the company and your only legal liability in relation to the company limited by guarantee while you remain a member is to pay to us the maximum sum of £1 in the event of the company becoming wound up. This amount is separate from your annual membership subscription fees, which are set by us each year. If you fail to pay your annual subscription fees, you will cease to be a member and cease to enjoy the benefits of membership.
6. Annual membership subscription fees apply from January to December in each year and can be paid on-line,over the telephone or by BACS transfer directly into out bank account . Unless your primary contact (see section 9 below) notifies us by no later than 30th November in any year of membership, we will be entitled to assume that you wish to remain a member for the following year and we will invoice you accordingly. We will remind you when payment is due and all subscription fees must be paid by the end of January in each year.
7. You may cancel your membership for the following year by your primary contact (see section 9 below) notifying us in writing or by email no later than 30th November in any year.. If you wish to terminate your membership at any other time once you have been either invoiced or paid for your membership, you will not be entitled to a refund for that year’s subscription for any reason unless we refuse your application to become a member. In such circumstances, we will notify you that your membership has been refused by email or telephone or in writing and we will refund only the amount paid by you. Refunds will be made using the same method as used to pay for the booking. It is your responsibility to advise us of any change of your email or postal address or telephone number and, if you fail to do so and we are unable to contact you, you will not receive any refund.
8. When membership is paid for using the on-line payment service on this Site, an automatic email will be sent to your primary contact’s (see section 9 below) email address with a reference number. For security the on-line payment service uses industry standard encryption and in order to pay you will need to use a browser that is compatible. Please note that we do not retain any credit or debit card information.
9. Upon becoming a member you will be required to nominate a primary contact who will be one individual employed by you or working in your business to whom we shall address all notices or correspondence (such as subscription renewals and notices of general meetings) and who will be authorised to nominate an unlimited number of sub-users (being other individuals employed by you or (with our consent) working in your business and authorised by you to have full members access to the Site). You may amend your nomination of primary contact or sub-users at any time by notifying us by email or in writing. It is your responsibility to advise us of any change of email or postal address or telephone number of any primary contact and all sub-users. If the primary contact or any sub-user cease to be employed by you or work in your business you must notify us immediately by email or in writing and make a new nomination.
10. Membership entitles you to
- Send a maximum of two persons (being individuals employed by you or working in your business) to attend any of the current Special Interest Group meetings and other Events held around the country each year (subject to availability). To book a place at any Event please go to http://www.sapusers.org/events.php. Please note while attendance at Special Interest Group meetings are usually free of charge some other Events will require an additional payment.
- Unlimited number of sub-users (see section 9. above for details).
- Access to the members-only sections of this Site.
- Receive newsletters and participate in discussion forums.
- Receive notice of and attend and vote at all general meetings of the company.
- Send unlimited numbers of delegates to any annual conference we hold at members’ reduced rates.
- Participate in opportunities to influence SAP product development.
11. Your attention is drawn to the other terms and conditions posted on this Site that apply to membership (including in particular Privacy).
12. You are not permitted to distribute or display promotional or other literature or materials or sell or promote your services at any Event without our prior consent unless you have booked and paid for exhibition or demonstration space at that Event. Please contact us by email or in writing for details of the terms that apply and how to book such space.
13. If you (including the primary contact and any sub-user) shall fail to comply with any of the terms and conditions relating to membership or the other terms and conditions posted on this Site, we may in our discretion revoke your membership by notice in writing or by email with immediate effect and you will not be entitled to a refund for that year’s subscription.
14. Any changes to the terms and conditions of membership or the other terms and conditions will be posted on this Site.
D. Individual In Transition Membership
1. The following information explains the terms and conditions of Individual In Transition membership, which is aimed only at individuals who may be between employers but who wish to continue to enjoy the benefits of being a user with access to the Site. As an individual In Transition Member, you will personally be entitled to the benefits of that membership but will not be entitled to appoint any sub-user or permit any other person to access these benefits. By completing an In Transition membership application form (as compared to a full corporate or trial corporate membership application form) you are agreeing to become an In Transition member of UK & Ireland SAP User Group Limited for one year and to the following terms and conditions and also to the other terms and conditions (including in particular Privacy) posted on this Site. If you do not wish to become an In Transition member or agree to such terms then you should not complete the application form. The terms and conditions applicable to full corporate membership can be found here and to trial corporate membership here. As an individual In Transition member, you will not be entitled to receive notice of or attend or vote at general meetings of the company.
2. We reserve the right to refuse your application for In Transition membership without giving any reason therefor.
3. In Transition membership is conditional upon you:
- Having previously been employed by an SAP licensed customer, which was a full member of UK & Ireland SAP User Group Limited; and
- Formerly being either a primary contact or a sub-user for that employer; and
- Not being employed by an SAP licensed customer or SAP consultant (or not being employed as a self-employed SAP consultant), but currently seeking such employment.
If you cease to meet any of the above conditions, you must notify us immediately and your eligibility to be an In Transition member will automatically cease.
4. Annual In Transition membership subscription fees apply from January to December in each year and can be paid by credit card over the telephone. Unless you notify us by no later than 30th November in any year of membership, we will be entitled to assume that you continue to comply with the conditions for In Transition membership and that you wish to remain an In Transition member for the following year and we will invoice you accordingly. There is no pro-rata reduction in the subscription fees for applications for In Transition membership received during the course of the year. You may cancel your In Transition membership for the following year. We will remind you when payment is due and all subscription fees must be paid by the end of January in each year in order for you to continue to enjoy the benefits of membership. All prices quoted on this Site exclude Value Added tax which is payable in addition at the prevailing rate.
5. You may cancel your In Transition membership at any time by notifying us in writing or by email no later than 30th November in any year. - Receive newsletters and participate in discussion forums.
- Attend any annual conference we hold at members’ reduced rates.
- Participate in opportunities to influence SAP product development.

E. Trial Corporate Membership
1. The following information explains the terms and conditions of free trial corporate membership. By completing a trial membership application form you are agreeing to become a trial member for a period of 3 months and to comply with the following terms and conditions and also to the other terms and conditions (including in particular Privacy) posted on this Site. If you do not wish to become a trial corporate member or agree to such terms then you should not complete the application form. The terms and conditions applicable to full corporate membership can be found here and for in transition membership here. As a trial corporate member, you will not be entitled to receive notice of or attend or vote at general meetings of the company.
2. We reserve the right to refuse your application for trial membership without giving any reason therefor.
3. Trial membership is conditional upon you holding at least one SAP licence.
4. You may cancel your trial membership at any time by your primary contact (see section 5 below) notifying us in writing or by email.
5. Upon becoming a trial member you will be required to nominate a primary contact who will be one individual employed by you or working in your business to whom we shall address all notices or correspondence and who will be authorised to nominate an unlimited number of sub-users (being other individuals employed by you or (with our consent) working in your business and authorised by you to have access to the Site). You may amend your nomination of primary contact or sub-users at any time during your trial membership by notifying us by email or in writing. It is your responsibility to advise us of any change of email or postal address or telephone number of any primary contact and all sub-users. If the primary contact or any sub-user cease to be employed by you or work in your business you must notify us immediately by email or in writing and make a new nomination.
6. Trial membership entitles you to
- Send a maximum of two persons (being individuals employed by you or working in your business) to attend one only of the current Special Interest Group meetings held around the country each year (subject to availability). - Unlimited number of sub-users (see section 5. above for details).
- Access to the following members-only sections of this Site: Members’ Homepage; My Account; Change Password; Upgrade membership; members FAQs; SIGs; Events and Conference information.
- Receive newsletters and participate in discussion forums.

E. Bookings/Payments/Cancellations/Refunds
1 Events Booking
The following information explains the terms and conditions of booking and paying for places at our special interest group (SIG) meetings, events, exhibitions or conferences (“Event”). By completing a booking form you are agreeing to the following terms and conditions and to the other Terms (including Privacy) posted on this Site. If you do not wish to agree then you should not complete the booking form.
Once booked, your place at any Event cannot be cancelled, exchanged or refunded, unless the Event is cancelled, moved to another date or venue or if details of the Event are significantly changed. You may transfer your place at any Event to another person provided that he or she is employed by one of our member companies and you notify us (or the host for the Event) prior to the Event being held.
In the Event of a cancellation, we will notify you by email or telephone or in writing and will refund only the amount paid by you for your place. Refunds will be made using the same method as used to pay for the booking.
If the Event is moved to another date or venue or the Event is significantly changed, you will be notified by email or telephone or in writing and your booking will remain valid should you wish to attend. If you notify us (by email or telephone or in writing) that you do not wish to attend, we will refund only the amount paid by you for your place. Refunds will be made using the same method as used to pay for the booking.
It is your responsibility to advise us of any change of your email or postal address or telephone number having made a booking. If you fail to do so and we are unable to contact you, you will not receive any refund.
The right to admission to any Event is jointly reserved by us and the host for any Event; health and safety, environmental and security concerns will be taken into account and reasonable conditions may be imposed upon your admittance, which if you are unwilling to accept will mean that you will not be admitted to the Event and in such circumstances no refund will be given.

All prices quoted on this Site exclude Value Added tax at the prevailing rate.
When places at an Event are paid for using the on-line booking service on this Site, an automatic email will be sent to your email address with a payment reference number. 2 Membership Application/Payment
The following information explains the terms and conditions of applying and paying for membership. Your attention is drawn to the terms and conditions of membership that apply to membership. By completing an application form you are agreeing to the following terms and conditions and to the other Terms (including Privacy) posted on this site. If you do not wish to agree then you should not complete the booking form. Once you have booked and paid for your membership you will not be entitled to a refund for that year’s subscription for any reason unless we refuse your application to become a member. In such circumstances, we will notify you that your membership has been refused by email or telephone or in writing and we will refund only the amount paid by you. Refunds will be made using the same method as used to pay for the booking. It is you responsibility to advise us of any change of your email or postal address or telephone number and, if you fail to do so and we are unable to contact you, you will not receive any refund.
We offer a Trial Membership for those wanting to sample some of the member privileges before paying for membership. Only one trial membership is allowed per company.
By applying for membership and completing an application form you are agreeing to become a member of UK & Ireland SAP User Group Limited for one year and to the membership Terms and conditions and to the other Terms (including Privacy) posted on this Site. If you do not wish to agree or become a member then you should not complete the application form. We reserve the right to refuse admission to membership on any grounds and without giving you a reason.
When membership is paid for using the on-line payment service on this Site, an automatic email will be sent to your email address with a reference number.
